Terms and Conditions for Heck Yeah Web Design
- General Terms
1.1 These terms and conditions (“Terms”) govern the provision of web design, hosting & maintenance, SEO, and digital advertising services (collectively referred to as “Services”) by Heck Yeah Web Design.
1.2 By engaging in any form of business with Heck Yeah Web Design, the client (referred to as “Client”) agrees to be bound by these Terms.
- Website Builds
2.1 Heck Yeah Web Design will provide website design and development services according to the specifications agreed upon with the Client.
2.2 The Client is responsible for providing all necessary materials, content, and approvals within the agreed timelines to facilitate the timely completion of the website.
2.3 Any additional features or modifications requested by the Client, not initially agreed upon, may result in additional charges and may affect the project timeline.
- Website Hosting & Maintenance
3.1 Overview
Heck Yeah Web Design provides website hosting and maintenance services under multiple service plans (collectively, the “Hosting Services”). Each plan includes different levels of support, maintenance, and service scope as described below. Plan details, features, and pricing are described on the Company’s website or in written proposals and may change from time to time.
3.2 Hosting Plan
The Hosting Plan provides basic website hosting services intended to keep the Client’s website online and accessible. Services may include server hosting, routine updates, backups, and basic security maintenance. The Hosting Plan does not include ongoing content updates, design changes, or development work unless otherwise specified in writing.
3.3 Hosting+ Plan
The Hosting+ Plan includes managed hosting services with additional support and maintenance. In addition to the services provided under the Hosting Plan, Hosting+ may include limited ongoing assistance such as content updates, troubleshooting, and minor website changes, subject to reasonable use and scope limitations. Hosting+ services are intended for ongoing site management after launch.
3.4 Launch Plan (12-Month Commitment)
The Launch Plan is a time-limited plan designed to support the design, build, and launch of a Client’s website while providing hosting and maintenance during the initial period.
a. Term. The Launch Plan requires a minimum commitment of twelve (12) consecutive months. Billing begins immediately upon the Client’s acceptance of the Launch Plan, regardless of website launch status.
b. Services Included. The Launch Plan includes website build and launch services, hosting, maintenance, and reasonable revisions related to layout, structure, or content during the build and launch phase.
c. Early Termination. The Launch Plan may not be terminated early by the Client. If the Client terminates services prior to the end of the twelve-month term, the remaining balance of the committed term becomes immediately due.
d. Transition After Term. Upon completion of the Launch Plan term, the Client’s services will automatically transition to the Hosting+ Plan unless the Client requests a different hosting plan in writing prior to the end of the term.
3.5 Scope of Services and Limitations
a. “Reasonable revisions” include changes necessary to complete and launch the website as originally agreed.
b. Major redesigns, new functionality, custom development, integrations, or work outside the originally agreed scope are not included and may require additional fees or a separate agreement.
c. Heck Yeah Web Design reserves the right to determine whether a requested change falls within the scope of the selected plan.
3.6 Payment, Suspension, and Access
a. Hosting Services are billed on a recurring basis according to the selected plan. Failure to make timely payments may result in suspension or termination of hosting services, including temporary disabling of the Client’s website.
b. While Hosting Services are active and payments are current, the website will remain hosted and managed by Heck Yeah Web Design. Administrative access, migration, or transfer of the website may be restricted while services are active or balances remain unpaid.
3.7 Plan Changes and Downgrades
Clients may request changes to their hosting plan level subject to plan rules, availability, and any applicable administrative requirements. Downgrades from the Launch Plan during its required term are not permitted. Additional limitations or fees may apply to repeated plan changes.
3.8 Ownership
Ownership of website design and development work transfers to the Client upon full payment of all amounts owed under the applicable plan or agreement, as further described in the Intellectual Property section of these Terms.
- SEO Services
4.1 Heck Yeah Web Design will provide SEO services to enhance the visibility of the Client’s website on search engines.
4.2 Results may vary, and Heck Yeah Web Design does not guarantee specific rankings or outcomes.
- Digital Advertising
5.1 Heck Yeah Web Design may, at the Client’s request, manage digital advertising campaigns on various platforms.
- Domain Name Registration
6.1 Heck Yeah Web Design reserves the right to deny any domain transfer request until any outstanding domain name registration payment is settled.
- Payment Terms
7.1 Invoices for Services are issued on agreed-upon terms and must be paid within 30 days of the issue date.
7.2 Late payments may be subject to a 1% late fee.
- Intellectual Property
8.1 Upon full payment, the Client owns the intellectual property rights to the website design created by Heck Yeah Web Design, excluding third-party materials.
8.2 Heck Yeah Web Design retains the right to display the completed work in its portfolio and marketing materials.
- Confidentiality
9.1 Both parties agree to keep confidential any information received from the other party that is not generally known to the public.
- Termination of Services
10.1 Either party may terminate the Services with written notice if the other party breaches any material provision of these Terms.
